PURCHASE AGREEMENT

The undersigned (“Purchaser”) seeks to acquire research materials from Full Circle Peptides, accessible via its official website (“Full Circle Peptides”). This Agreement establishes the terms and conditions governing the sale and acquisition of such materials between the parties.

For the purposes of this Agreement, “MATERIALS” shall refer to any products or services procured by the Purchaser from Full Circle Peptides, including, but not limited to, peptides, proteins, liquids, powders, chemicals, laboratory equipment, and related hardware.

The following terms and conditions shall govern all purchases of MATERIALS by the Purchaser from Full Circle Peptides:

1. 1. All MATERIALS are provided solely for research, laboratory, or analytical purposes and are expressly not intended for human consumption.

2. 2. The Purchaser warrants that they are a licensed professional, duly qualified to handle the MATERIALS supplied by Full Circle Peptides.

3. 3. The Purchaser acknowledges that MATERIALS supplied by Full Circle Peptides are intended exclusively for scientific research and laboratory use. Such use excludes any clinical, diagnostic, or human-related research.

4. Prohibited uses include, but are not limited to, in vitro diagnostics, incorporation into foods, drugs, medical devices, cosmetics for humans or animals, or any commercial applications.

5. 4. The Purchaser agrees that MATERIALS shall not be used for human or animal consumption and are intended for use by qualified professionals only.

6. 5. Purchasers must be at least twenty-one (21) years of age to acquire MATERIALS from Full Circle Peptides.

7. 6. All payments shall be made payable to Full Circle Peptides.

8. 7. The Purchaser agrees that Full Circle Peptides shall not be liable for any improper use of MATERIALS. Full Circle Peptides and its affiliates shall not be responsible for any special, incidental, or consequential damages, whether arising from contract, negligence, strict liability, or otherwise.

9. 8. By purchasing MATERIALS, the Purchaser agrees to indemnify and hold Full Circle Peptides harmless from any claims, expenses, losses, or liabilities arising from the handling or use of MATERIALS, whether used independently or in combination with other substances, regardless of their origin.

10. 9. The Purchaser acknowledges the inherent hazards associated with the handling and use of MATERIALS and warrants that, through independent review, they are fully informed of: (i) health and safety risks associated with MATERIALS; (ii) necessary industrial hygiene controls to protect personnel; (iii) the obligation to warn of associated health and safety hazards; and (iv) applicable governmental regulations concerning the use and exposure to MATERIALS.

11. 10. Full Circle Peptides reserves the right to refuse sales to unqualified purchasers. Full Circle Peptides does not guarantee that the use or sale of MATERIALS will not infringe upon any U.S. or international patents, whether related to the MATERIALS themselves or their use in combination with other substances or processes. The listing of MATERIALS on the Full Circle Peptides website does not imply a license or endorsement for use in violation of any patent. All MATERIALS must be handled exclusively by qualified and trained personnel.

12. 11. By purchasing MATERIALS, the Purchaser is granted a limited, non-transferable right to use the acquired MATERIALS solely for internal research purposes benefiting the Purchaser. No rights are granted, expressly or impliedly, to resell MATERIALS or their components.

13. 12. The Purchaser warrants that MATERIALS will not be exported for any purpose. MATERIALS are not intended for commercial applications, including quality control or commercial services involving the reporting of research results for compensation. If the Purchaser intends to sell, supply, repackage, relabel, or use MATERIALS as components in other products or provide MATERIALS to a third party, the Purchaser must obtain prior written approval from Full Circle Peptides and provide the third party’s details for verification.

14. 13. The Purchaser acknowledges that Full Circle Peptides has not tested MATERIALS for safety or efficacy in food, drug, medical device, cosmetic, or other applications. The Purchaser warrants that they will test and use MATERIALS in accordance with the practices of a reasonable expert in the relevant scientific field and in strict compliance with all applicable state and federal laws and regulations.

15. 14. The Purchaser further warrants that any products derived from MATERIALS shall not be adulterated or misbranded under the Federal Food, Drug, and Cosmetic Act and shall comply with Sections 404, 505, or 512 of said Act regarding introduction into interstate commerce. Unless otherwise specified, MATERIALS are intended for research purposes only and may not be listed on the Toxic Substances Control Act (TSCA) inventory.

17. 16. Purchaser is responsible for verifying hazards associated with MATERIALS and conducting further research as necessary.

18. 17. The Purchaser also has a duty to inform its customers and auxiliary personnel (e.g., freight handlers) of any risks related to the use or handling of MATERIALS.T

19. 18. The Purchaser agrees to adhere to any instructions provided by Full Circle Peptides regarding the use of MATERIALS and to refrain from any misuse. By placing an order, the Purchaser acknowledges that MATERIALS must not be used inappropriately and that all Purchasers are expected to be qualified researchers.

20. 19. The Purchaser agrees not to publish false information about Full Circle Peptides or its MATERIALS or engage in public disparagement. Any legal disputes must be filed and resolved in the county where Full Circle Peptides operates, and the Purchaser agrees to cover all related expenses, including attorney’s fees and filing costs. This Agreement constitutes the entire understanding between the parties regarding the subject matter herein. No amendments shall be effective unless made in writing and signed by both parties. This Agreement shall be binding upon the parties, their successors, and assigns. Nothing in this Agreement establishes any contract or arrangement beyond the restrictions on use and disclosure, including research or product development agreements or technology transfers. This Agreement shall be governed by and construed in accordance with the laws of the United States of America. The termination of discussions regarding the subject matter of this Agreement shall not relieve either party of their obligations hereunder, except as expressly modified in writing. The provisions of this Agreement shall be enforceable to the extent permitted by applicable law. If any provision is deemed illegal, invalid, or unenforceable, the remaining provisions shall remain in full force and effect.
